Terms of Service

The term of this Agreement (the “Term”) will begin on the date of your first monthly payment and remain in full force until terminated.

Either Party can terminate this Agreement at any time providing 30 days’ notice has been given to the other Party, or immediately should both parties agree.

If either Party breaches the terms of this Agreement, the non-defaulting Party can terminate this agreement immediately and request indemnification against all reasonable charges.

Cost

For the services rendered by the Company, the Client will be billed on the same day of each month starting no later than 48 hours before the website is scheduled to go live for the duration of this agreement at the agreed monthly cost.


This amount is subject to change should the Client request additional services/upgrades which will affect this amount. In addition, the Company reserves the right to increase the cost of its services where unforeseeable circumstances (such as inflation/substantial increases in costs) make it necessary to do so. Should any such changes need to be made, the Company will afford the Client 3 months’ notice of any changes in costs.


Lollipop Rocks is not currently VAT registered, and any amounts charged do not include Value Added Tax.

Non-Payment

We request that all clients make payment by standing order each month. If payment is not received within 48 hours of being due, we will, in the first instance, attempt to contact you to ensure payment is made promptly. If no payment is forthcoming, we reserve the right to take your website offline until payment is made without further notification.

Domain & Email

The Company agrees to provide a Tier 1 domain name free of charge for the first year, however we reserve the right to apply a charge to the Client if required. After the first 12 months’ the Company will charge the Client for the cost of the domain renewal. Ownership of the domain can be passed on to the Client at any time for an administration fee of £25.

Where an email address has been provided, in most cases this will be offered free for the first 12 months. After this time we will charge a fee of £2 per month per mailbox used in addition to your monthly website fee.

Service Continuity

Our servers offer an assumed uptime of at least 99.9%, however we cannot be held accountable for any loss of business or otherwise due to any downtime experienced due to factors outside of our control.

Site Content

The Client takes responsibility for all images and content provided to the Company and must ensure that any permissions to use such content have been sought and approved.

We reserve the right to remove, without warning, any content found to be offensive, illegal or morally questionable from any website designed by us.

Ownership of Materials & Intellectual Property

All Intellectual Property and related materials designed, written or purchased by the Company (including the layout under this agreement will remain the property of the Company unless otherwise agreed.

Indemnification

Each Party agrees to indemnify and hold harmless the other Party and its respective employees and assigns against any and all claims which result from or arise out of any act of omission in connection with this agreement. This indemnification will survive the termination of this agreement.

Governing Law

This Agreement is governed by the Laws of England & Wales.
